CSR in Times Square Prize Drawing - Terms and Conditions - Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE YOUR CHANCES OF WINNING.

  1. ELIGIBILITY: The CSR in Times Square prize drawing (the “Drawing”) is open only to legal residents of the fifty (50) United States and the District of Columbia (excluding Puerto Rico) and legal residents of Canada (excluding Quebec) who are at least 21 years of age or older. Employees, officers and directors of Sponsor and each of its related companies and agents, as well as the immediate family (defined as parents, spouse, children, siblings and grandparents) and household members of each such employee, officer and director are not eligible to enter. All federal, state and local laws and regulations apply. Void where prohibited. No purchase necessary to enter or win. One entry per person. By participating in the Drawing, entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding.

  3. GIVEAWAY PERIOD: 12:01am/pm ET December 17, 2013 – 11:59pm ET January 30, 2014.

  4. HOW TO ENTER: To enter, Tweet a photo of your Corporate Social Responsibility (CSR) efforts to PR Newswire (@prnewswire) using the hashtag #PRforCSR.

  5. SELECTION and NOTIFICATION OF POTENTIAL WINNERS: The potential winner will be selected at random from among all eligible entries received. The drawing will be held on or about February 5, 2014. Sponsor’s decisions as to the administration of the Drawing and the selection of the potential winner are final. The potential winner will be notified by Direct Message on Twitter within seven (7) days. If a potential winner cannot be contacted within seven (7) days after the first attempt to contact him/her or if he/she fails to respond to the message left by the Sponsor within seven (7) days of such message, an alternate entrant will be selected in his/her place at random from among all eligible entries received. Potential winners must comply with all terms and conditions of these Official Rules and Twitter’s applicable rules and regulations, and winning is contingent upon fulfilling all requirements. In addition, any potential winner who is a Canadian citizen must correctly answer a skill testing question.

  6. PRIZES: The prize winner will receive one Times Square photo distribution, with an approximate retail value of $525, for the display of a photo or image (with caption) highlighting the winner’s charitable efforts, on the Thomson Reuters sign in Times Square. The prize winner will also receive a web cam photo of his/her photo on the Thomson Reuters sign. The prize is subject to Sponsor’s standard terms and conditions governing that service. Prize must be used upon notification. No cash or other substitution, assignment or transfer of prize or prize component permitted, except by Sponsor, who reserves the right to substitute a prize or prize component with another of comparable or greater value. Reporting and payment of any federal, state, provincial, local, VAT, or other taxes, fees, customs, duties, insurance, or other amounts owed in connection with any prize are the sole responsibility of the winner(s). Odds of winning depend on the number of eligible entries received.

    EACH PRIZE IS GIVEN AWAY BY SPONSOR “AS-IS.” SPONSOR DOES NOT MAKE, AND HEREBY DISCLAIMS, ANY WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING ANY PRIZE, INCLUDING WITHOUT LIMITATION ANY IMPLIED OR STATUTORY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT

  7. IMAGE RELEASE AND GRANT OF LICENSE: By participating in the Drawing, all participants grant to Sponsor, its affiliates, and its and their licensees, sublicensees, successors and assigns (the “Licensees”), the irrevocable right and license to reproduce, edit, publish, create derivative works from, distribute and otherwise use any of the content created by participant, including participant’s name, likeness, appearance, performance, voice, comments, interviews, utterances, identity, and any recordings, descriptions, drawings or renderings thereof (the “Content”) in whole or in part, in perpetuity, in any media, including, without limitation, print, broadcast, internet or any other media now known or hereafter developed, royalty-free, and without any other compensation to participant, for the purpose of promoting Sponsor, its affiliates and its and their products and services. Participants represent and warrant that (i) the Content contains only materials that are original to participant or materials that participant has permission to use and to provide to Licensees for their use, (ii) the Content, the use thereof by Licensees, and the exercise by Licensees of any of the rights granted by participant under these Official Rules does not and will not infringe or violate any rights of any third party or entity, including, without limitation, copyright, trademark, defamation, privacy, publicity, false light, idea misappropriation, intentional or negligent infliction of emotional distress, or any contractual rights; (iii) participant has all the rights, licenses, permissions and consents necessary to submit the Content and to grant all of the rights granted to Licensees under these Official Rules, including written permission from any and all persons appearing in the Content (or the parent or legal guardian of any child under 18 years of age); and (vii) no person who was engaged by participant or who appears in the Content has any claims for payment of any kind, including, without limitation, for royalties or residuals, arising out of any use, exhibition or other exploitation of the Content. Participants waive and release Licensees and their respective directors, officers, employees and agents from any and all claims participant may have now or hereafter arising out of or relating to such parties’ use of the Content pursuant to these Official Rules.

  8. INDEMNIFICATION AND WAIVER: Participants agree to defend, indemnify and hold harmless Licensees their affiliates and their respective directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to any actual or alleged breach by participant of any of the representation or warranty contained in Section 7 or any other terms or conditions of this Agreement, or otherwise arising from or relating to participant’s participation in the Contest.

  9. RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Drawing, entrants agree to release and hold harmless Sponsor, its officers, directors, employees, affiliated companies and agents (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Drawing or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Drawings; (b) technical errors related to computers, servers, providers or telephone or network lines; (c) errors in the administration of the Drawing or the processing of entries; or (d) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Drawing or receipt of any prize. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Drawing, and in no event shall the Released Parties be liable for attorneys’ fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct or indirect damages. Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of or connected with this Drawing or any prize awarded shall be resolved under the laws of the State of New York, without respect to any conflict of law issues, and entrant agrees that such shall be resolved individually, without resort to any form of class action, and exclusively by the U.S. Federal and State Courts of New York, New York.

  10. GENERAL CONDITIONS: If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes. Sponsor reserves the right to cancel, suspend and/or modify the Drawing, including without limitation, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Drawing, as determined by Sponsor in its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any person it finds to be tampering with the entry process or the operation of the Drawing or to be acting in violation of these Official Rules or in a disruptive manner. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

  11. PERSONAL INFORMATION: In addition to the image release and license granted pursuant to Section 7, by entering, each participant (a) grants to Sponsor the right to use and publish such participant’s name, state of residence, and any other information in any winning entry both online and in print, in connection with the contest, and without additional compensation, except to the extent prohibited by law, and (b) consents to Sponsor's use of participant’s name, email address, company name and title to contact participant regarding services offered by PR Newswire and its affiliated companies. In addition, by entering, each participant consents to the use of their names and likeness for advertising and/or promotional and/or marketing purposes without additional compensation. (A Tennessee resident consents to the use of his name and likeness only if such Tennessee resident expressly consents to such use.) Sponsor reserves the right to use any information provided by participants in connection with the contest in any manner permitted by these Official Rules.

  12. PUBLICITY: Acceptance of any prize shall constitute the winner’s consent to Sponsor’s use of the winner’s name, likeness, voice, opinions, prize information and hometown and state for promotional purposes in any media, worldwide, without limitation and without further payment or consideration, except where prohibited by law.
